SONIFYMUSIC - End User License Agreement

This End User License Agreement (“EULA”) governs your license to use the SonifyMusic application software (the “Application”), which is licensed to you by Songistry Inc. operating as SonifyMusic (“Songistry”), on a non-exclusive and limited basis. The Application is licensed, not sold.

1. License Grant

Songistry grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Application on Apple-branded products or Android devices that you own or control, in object code form only, solely for your personal, non-commercial purposes. For clarity, your limited license shall immediately expire and terminate along with the termination of this EULA.

2. Restrictions

You will not:

  • copy the Application except as expressly permitted;

  • modify, translate, adapt, or create derivative works of the Application;

  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;

  • rent, lease, lend, sell, redistribute, or sublicense the Application;

  • remove, alter, or obscure any proprietary notices, including notices that the Application incorporates technology subject to U.S. Provisional Patent Application No. 64/053,693 or other patent applications;

  • use the Application in violation of any law or third-party right.

3. Apple-Specific Terms

The following provisions apply when you download the Application from the Apple App Store and are required by Apple as a condition of distribution.

Acknowledgement. This EULA is between you and Songistry only, not Apple. Songistry, not Apple, is solely responsible for the Application.

Scope of License. The license is limited to a non-transferable license to use the Application on Apple-branded products you own or control.

Maintenance and Support. Songistry, not Apple, is solely responsible for providing maintenance and support.

Warranty. Songistry, not Apple, is responsible for any warranties. If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price.

Product Claims. Songistry, not Apple, is responsible for addressing any claims relating to the Application, including product-liability claims and claims under consumer-protection legislation.

Intellectual Property Claims. Songistry, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim.

Legal Compliance. You represent that you are not located in a country subject to a US government embargo or designated a “terrorist supporting” country, and that you are not on any US government list of prohibited or restricted parties.

Third-Party Terms. You must comply with any applicable third-party terms when using the Application.

Third-Party Beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA and have the right to enforce this EULA against you.

4. Google Play-Specific Terms

If you obtain the Application from Google Play, this EULA is between you and Songistry, not Google. Your use is also subject to the Google Play Terms of Service.

5. Termination

This EULA is effective until terminated. Your rights terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use and delete all copies. Songistry may terminate this EULA at any time without cause.

6. US Government Rights

The Application is “commercial computer software” as those terms are used in 48 C.F.R. § 12.212 and 48

C.F.R. § 227.7202. Use by the US Government is subject to the restrictions in this EULA.

7. Governing Law

This EULA is governed by the laws of the Province of Alberta, Canada and the federal laws of Canada, applicable therein, without regard to conflict-of-laws rules. For any matter not subject to arbitration under the Terms of Service, you and Songistry submit to the exclusive jurisdiction of the Provincial and Federal courts located in Calgary, Alberta..

8. Terms of Use and Privacy Policy

For clarity, your use of the Application constitutes your acceptance of this EULA, which also includes acceptance of our Terms of Use and Privacy Policy. In the event of a conflict between this EULA, the Terms of Use and/or the Privacy Policy, the terms of this EULA shall prevail with respect to the conflicting portion only, with the balance of the Terms of Use and Privacy Policy continuing to be binding.
